The role
This senior role focuses on advising institutional fund managers, private equity sponsors, venture capital groups, and real estate managers on fund structuring, SEC regulatory compliance, and investor negotiations.
Responsibilities
- Lead fund structure design, documentation, and closings for private equity, venture capital, hedge, and credit funds.
- Counsel investment advisers on compliance requirements under federal securities laws and the Investment Advisers Act.
- Negotiate side letters, limited partnership agreements, and anchor investor commitments.
- Mentor junior associates and participate in business development efforts to grow client relationships.
Required
- 5 to 8 years of dedicated private fund formation and regulatory experience.
- Thorough familiarity with SEC rules governing private advisers and fund sponsors.
- Strong track record of running transaction workflows and direct client engagement.
- California Bar admission, or immediate eligibility.
Compensation
This senior-level role offers compensation in a broad six-figure range, plus performance bonuses, commensurate with experience.
