A premier West Coast commercial law firm with a nationally recognized investment funds practice is seeking a junior to mid-level associate for a partnership-track role.

The company

The role

The role involves representing investment managers, financial advisers, and market-leading funds, spanning private equity, venture capital, hedge, real estate, and credit strategies, on fund formation, capital raising, and ongoing regulatory compliance. The position carries a moderate annual billable target of around 1,850 hours (inclusive of pro bono and administrative allowances), with additional performance bonuses available for higher billings, plus immediate client-facing opportunities, direct partner mentorship, and formal business development support to build a long-term practice.

Responsibilities

  • Assist in structuring and forming private investment vehicles across diverse strategies.
  • Draft and negotiate foundational fund documentation, side letters, and offering materials.
  • Advise fund managers on regulatory frameworks, including compliance under securities laws and investment adviser regulations.
  • Work directly with founding partners, institutional managers, and key portfolio stakeholders on complex transactional matters in emerging growth, tech, and life science sectors.

Required

  • 2 to 4 years of transactional corporate legal experience, with an emphasis on securities law.
  • Prior exposure to fund formation or regulatory counseling is preferred, but strong corporate or securities experience with a demonstrated interest in private funds will be considered.
  • Exceptional legal drafting skills and strong academic credentials from a top law school.
  • California Bar admission, or immediate eligibility to join the California Bar.

Compensation

This role offers compensation in a broad six-figure range, commensurate with experience, plus performance bonus eligibility and full benefits, including health, dental, and vision coverage and a 401(k) plan.
