An established West Coast commercial law firm is seeking a senior tax attorney to join its transactional practice.

The role
This role serves as a key tax advisor across both the firm's Corporate/M&A and Investment Funds practice groups, structuring complex middle-market corporate deals, joint ventures, and investment fund formations. The position is based in the San Francisco Bay Area with a hybrid work arrangement.
Responsibilities
- Structure and negotiate middle-market M&A deals, joint ventures, and real estate partnerships.
- Advise on federal, state, and cross-border tax considerations for private equity, venture capital, hedge, and real estate funds.
- Draft partnership agreements, operating documents, and tax-opinion memoranda for fund sponsors and emerging growth companies.
- Counsel clients on the tax treatment of complex financial instruments, corporate restructurings, and offshore entities.
Required
- 5 to 8 years of corporate transactional tax experience within a law firm setting.
- Strong foundation in partnership tax, corporate tax, and fund formation tax mechanics.
- Exceptional legal drafting skills and strong academic credentials.
- California Bar admission, or immediate eligibility.
Compensation
This is a senior-level position with compensation in a broad six-figure range, plus performance-based bonuses, commensurate with experience.
