We are seeking a talented Emerging Companies and Venture Capital (ECVC) Attorney from a top-tier firm to join a fast-growing, venture-backed technology and services platform. In this role, you will work directly with founders, executives, and investors across the full spectrum of startup corporate law and venture capital financings.

This is a modern, tech-forward environment. The company utilizes advanced automation and intelligent software to eliminate standard administrative and operational overhead — including routine drafting and basic data coordination. This allows our legal team to bypass traditional firm bottlenecks and focus entirely on high-level legal strategy and direct client advisory.

What You'll Do

Company Formations: Oversee entity setups, founder agreements, bylaws, and initial corporate governance workflows.

Venture Financings: Execute SAFEs, convertible notes, and priced rounds (Seed through Series B+), and lead client negotiations.

Corporate Governance: Advise growth-stage companies on board resolutions, stockholder consents, annual compliance, and equity plan administration.

Commercial & Tech Transactions: Review and structure SaaS agreements, licensing agreements, vendor contracts, and routine data compliance.

M&A Support: Manage due diligence, purchase agreements, and transaction execution for scaling clients.

Direct Client Advisory: Serve as the primary trusted advisor directly to startup founders and venture investors, exercising independent professional judgment.

What We're Looking For

Education & Experience: JD from a top-tier law school with 1–6 years of dedicated ECVC experience at a nationally recognized law firm.

Bar Membership: Active bar membership in good standing (CA or NY preferred; other major US jurisdictions considered).

Expertise: Deep knowledge of Delaware corporate law and extensive experience managing venture financing documentation (term sheets, investor rights agreements).

Tech Fluency: High comfort level adopting modern legal tech platforms, cap table management software, and AI-driven productivity tools.

Mindset: Exceptional attention to detail, strong systems thinking, and a genuine interest in supporting entrepreneurial ecosystems.
